1. Introduction and Definitions

Welcome to the official website (www.citytrust.com, the "Website" or the "Platform") of CITYTRUST LIMITED (the "Company"). The Company is a trust company registered under the Trustee Ordinance (Cap. 29, Laws of Hong Kong) and holds a Trust or Company Service Provider (TCSP) licence issued by the Hong Kong Companies Registry (Licence No. TC010153). Business Registration No.: 77579951.

By browsing or using this Website, you confirm that you have read, understood and agreed to be bound by the following terms and conditions (the "Terms"). If you do not agree with any part of the Terms, please stop using this Website immediately.

In these Terms, "you" or "user" means any individual or institution using this Website or the Company's services; "Services" means the trust, fiduciary and related services provided by the Company through this Website or other channels.

2. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong, or, where both parties agree, referred to the Hong Kong International Arbitration Centre (HKIAC) for arbitration under its applicable rules.

3. Scope and Limits of Services

Important statement: in every transaction the Company acts solely as a passive trustee, holding assets strictly in accordance with the client's absolute instructions and routing execution instructions to the relevant third-party institutions. The Company does not create, issue, actively manage or underwrite any financial product. Nothing on this Website or the Platform constitutes, or should be construed as, an offer, solicitation or recommendation to buy or sell any securities, virtual assets, financial products or instruments.

The Company is not licensed or registered with the Hong Kong Securities and Futures Commission (SFC) to carry on any regulated activity, nor is it an authorised institution or stored-value facility licensee regulated by the Hong Kong Monetary Authority (HKMA).

All investment products available through the Platform (including but not limited to equities, funds and virtual currencies) and payment services (such as debit/credit card functions) are provided by independent third-party service providers holding the relevant statutory qualifications. The Company does not provide investment, legal, tax or financial advice of any kind. Before making any investment decision you should independently assess the risks and consult professional advisers.

In respect of digital asset services (deposits, conversions and withdrawals): such services are available only after digital asset custody has been activated; the relevant assets are held by the Company in its capacity as trustee under segregated custody arrangements (including the appointment of qualified custodians, supplemented by institutional-grade custody technology); conversions are executed on a quote (RFQ) basis through licensed institutional partners engaged by the Company; and withdrawal addresses must be pre-registered, reviewed and subject to a cooling period. The specific custodians and arrangements shall be as disclosed by the Company from time to time.

4. Anti-Money Laundering (AML) and Know Your Customer (KYC)

In accordance with the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615, Laws of Hong Kong) and related regulatory guidance, you agree to:

  • provide true, complete and accurate identity information during registration and use of the Services, and cooperate with the Company's ongoing customer due diligence (KYC) and enhanced due diligence (EDD);
  • update your personal information promptly so that it remains current at all times;
  • refrain from using this Website or the Services for money laundering, terrorist financing or any other unlawful activity.

5. Account Freezing and Termination

The Company reserves the unilateral right to freeze your account, decline to execute instructions or terminate the Services without prior notice where:

  • an anti-money-laundering alert or suspicious-transaction reporting obligation is triggered;
  • fraud, identity theft or other unlawful activity is suspected;
  • a lawful request or order is received from law-enforcement agencies, courts or regulators;
  • you breach any provision of these Terms or any other applicable agreement.

6. Tax Compliance

You represent and warrant that your funds are of lawful origin and that you have discharged all applicable tax obligations in your jurisdictions of tax residence. You understand and agree that the Company will report your account information to the relevant tax authorities in accordance with the Common Reporting Standard (CRS), the U.S. Foreign Account Tax Compliance Act (FATCA) and other applicable laws.

7. Intellectual Property

All content on this Website — including but not limited to text, images, logos, icons, software, page design and layout — is the property of the Company or its licensors and is protected by Hong Kong and international intellectual-property laws. Without the Company's prior written consent, you may not copy, distribute, modify, transmit or publicly display any content of this Website in any form.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Company gives no warranty as to the service quality, product performance, system stability or credit standing of any third-party provider. All risks relating to investment-product volatility, counterparty default, virtual-asset networks and third-party payment gateways (including the risk of loss of principal) are borne solely by you.

The Company accepts no liability for any direct or indirect loss arising from your instructions, your reliance on information displayed on the Platform, or your use of third-party services. Nor does the Company accept liability for losses caused by network latency, system failure, hacking or API malfunction that prevents instructions from reaching third-party institutions in a timely manner.

9. Amendments

The Company reserves the right to amend these Terms at any time. Amended Terms take effect upon publication on this Website. The Company will give reasonable advance notice of material changes on this Website or by email. Your continued use of the Website or Services after an amendment constitutes acceptance of the amended Terms.
